Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you" or the "User") and Majorum Network LLC, a Wyoming limited liability company ("Majorum," "we," "us," or "our"), governing your access to and use of aScribe, our audio/video transcription and AI summarization software-as-a-service platform, hosted at as.majorum.net (the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms; Eligibility
1.1. By registering for an account or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.
1.2. You must be of legal age to form a binding contract in your jurisdiction of residence (generally 18 years of age or the age of majority where you live) to use the Service. By using the Service, you represent and warrant that you meet this requirement. The Service is not directed at, and may not knowingly be used by, individuals below this age.
1.3. If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" in that context refers to both you individually and that entity.
1.4. We may update these Terms from time to time in accordance with Section 22. Continued use of the Service after an update constitutes acceptance of the revised Terms.
2. Description of the Service
2.1. aScribe allows you to upload audio or video files, or record live audio via your device's microphone, for automated transcription. Depending on the transcription model configured for your account, transcripts may include speaker labels (diarization).
2.2. Once a transcript is generated, you may optionally: (a) generate an AI-produced summary of the recording; (b) engage in an AI chat conversation about the content of a specific recording; and (c) use "Ask your library," a feature that allows AI-assisted search and conversational querying across the transcripts of your own recordings. As described in our Privacy Policy, every completed transcript is automatically processed to generate the embeddings that power "Ask your library," whether or not you ever use that feature.
2.3. The Service is offered in the following tiers, subject to change as described in Section 9 and Section 22:
- Free / capped tier — available to registered accounts that have not activated paid billing capacity, subject to the usage limits described in Section 9.
- Paid tier — available to accounts that have activated billing, either through a prepaid credit balance or a pay-as-you-go plan billed monthly for actual usage, as described in Section 8.
2.4. The specific AI models available to you (for transcription, diarization, summarization, or chat) may be a combination of models we operate ourselves and models operated by third-party providers, and may vary depending on your account tier and the configuration we make available at any given time, as further described in our Privacy Policy.
2.5. We do not guarantee that any specific feature, model, or integration will remain available indefinitely. We may add, remove, or modify features, models, or integrations at our discretion, subject to Section 22.
3. Account Registration and Security
3.1. To use the Service, you must register for an account and provide accurate, current, and complete information, including a valid email address.
3.2. You are solely responsible for maintaining the confidentiality of your account credentials (including your password) and for all activity that occurs under your account, whether or not authorized by you.
3.3. You must notify us promptly at pub@majorum.net if you become aware of any unauthorized access to or use of your account, or any other breach of security.
3.4. We reserve the right to suspend or terminate any account, and to immediately revoke any active session associated with that account, if we reasonably believe the account has been compromised, is being used fraudulently, or is otherwise in violation of these Terms.
4. Acceptable Use
4.1. You agree that you will not, and will not attempt to:
(a) use the Service for any unlawful purpose, or in a manner that violates any applicable local, state, national, or international law or regulation;
(b) upload, record, transmit, or process any content that you do not have the legal right to use, including recordings made without the necessary consent of all parties to a conversation (see Section 5.3);
(c) attempt to circumvent, disable, or otherwise interfere with any usage limits, rate limits, quotas, account caps, security features, CAPTCHA mechanisms, or access controls of the Service, including by creating multiple accounts to evade the free-tier limits described in Section 9;
(d) probe, scan, or test the vulnerability of the Service, or attempt to gain unauthorized access to any part of the Service, other accounts, or the infrastructure supporting the Service;
(e) use the Service to develop, train, or benchmark a competing product, or to scrape, harvest, or systematically extract data from the Service other than your own account content via the features we provide;
(f) upload or transmit any viruses, malware, or other harmful code;
(g) reverse-engineer, decompile, or disassemble any part of the Service, except to the extent such restriction is prohibited by applicable law;
(h) resell, sublicense, or otherwise make the Service available to any third party except as expressly permitted by these Terms;
(i) use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service; or
(j) use the Service in violation of applicable export-control or economic-sanctions law (see Section 18).
4.2. We reserve the right to investigate suspected violations of this Section and to suspend or terminate accounts in accordance with Section 12.
5. User Content and Recordings
5.1. Ownership. As between you and Majorum, you retain all right, title, and interest in and to the audio, video, and other content you upload or record ("User Content"), and in the transcripts, summaries, notes, and other outputs generated from your User Content ("Generated Content," together with User Content, "Your Content"). Nothing in these Terms transfers ownership of Your Content to Majorum.
5.2. License to Majorum. You grant Majorum a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, and display Your Content solely to the extent necessary to provide, maintain, secure, and support the Service for you, including transmitting your audio or transcript text to the transcription and AI providers configured for your account as described in our Privacy Policy. This license terminates when Your Content is deleted from the Service, except to the extent retention is required for legal compliance, backup, or dispute resolution purposes, or as otherwise described in the Privacy Policy. Majorum's processing of Your Content under this license is further governed by Section 6 (Data Processing Terms).
5.3. Consent to record third parties; special-category and biometric data. aScribe may be used to record and transcribe conversations, meetings, or calls that include people other than you.
(a) Recording-consent warranty. You represent and warrant — not merely acknowledge as a general responsibility — that, before uploading, recording, or otherwise processing any conversation via the Service, you have obtained all consents from every participant in that conversation that are legally required under the recording-consent laws applicable to that conversation. Recording-consent laws vary significantly by jurisdiction (for example, "one-party consent" jurisdictions where only one participant's consent is required, versus "two-party" or "all-party consent" jurisdictions where every participant must consent), and it is your responsibility to identify and comply with the laws applicable to your recording.
(b) Special-category data warranty. Independently of recording-consent law, recordings and transcripts processed via the Service may reveal special categories of personal data as defined under GDPR Article 9 or similar laws — including data revealing health conditions, political opinions, religious or philosophical beliefs, trade union membership, or sexual orientation. The consent rules referenced in (a) above (one-party/all-party recording law) are a separate legal regime from the legal-basis requirements that apply to special-category data. You represent and warrant that, before uploading or processing any recording or content containing such data, you have independently identified a valid legal basis for doing so (typically the explicit consent of the data subject) under the law applicable to that data.
(c) Biometric/voiceprint data. The Service's speaker-diarization feature analyzes and distinguishes participants by their voice characteristics, which may constitute biometric data under GDPR Article 9, the EU AI Act, or similar biometric-privacy statutes (such as the Illinois Biometric Information Privacy Act ("BIPA") in the United States). You are solely responsible for ensuring that any consent or other legal basis necessary for the collection and processing of biometric or voiceprint data of recording participants has been obtained before using this feature.
Majorum has no ability to verify whether any consent described in (a), (b), or (c) was obtained and makes no representation as to the legality of any recording you choose to process.
5.4. Indemnification for content. You agree to indemnify, defend, and hold harmless Majorum, its owner, officers, and any personnel, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your breach of any of the warranties in Section 5.3, including the recording-consent warranty (Section 5.3(a)), the special-category-data warranty (Section 5.3(b)), or the biometric/voiceprint warranty (Section 5.3(c)); or (c) your violation of these Terms or of any applicable law in connection with your use of the Service.
5.5. We do not pre-screen, monitor, or edit User Content, and we are not responsible for the content of any recording, transcript, summary, or chat message you or the Service generates, subject to Section 7.
6. Data Processing Terms
6.1. Dual role. In connection with the Service, Majorum acts in two distinct data-protection capacities: (a) as an independent data controller for the account, billing, technical, and security data described in our Privacy Policy — data generated by the relationship between you and Majorum as a user of the Service; and (b) as a data processor (or "service provider," depending on applicable law) acting solely on your documented instructions with respect to Your Content — the substantive audio, video, transcript, summary, note, and chat/search content you record, upload, or generate via the Service. If you use the Service to record or process a conversation involving other people (for example, a business meeting or a call with colleagues), you — or, where applicable, your employer or organization — are the controller of that conversation's content, and Majorum processes it only as your processor, on your instructions, to provide the Service.
6.2. Processing only on instructions. Majorum processes Your Content only (a) to provide, maintain, and support the Service as configured by you or on your behalf; (b) to carry out your documented instructions communicated through your use of the Service's features and configuration options; and (c) as otherwise required by applicable law. Majorum does not process Your Content for any independent purpose of its own outside the scope of providing the Service, and does not use Your Content to train AI models (see Privacy Policy, Section 6).
6.3. Sub-processor authorization. You authorize Majorum to engage the sub-processors identified in our Privacy Policy (including hosting, cloud transcription, and cloud AI/LLM providers) to process Your Content as necessary to provide the Service. Majorum remains responsible for each sub-processor's compliance with data-protection obligations equivalent to those described in this Section 6.
6.4. Assistance with data subject rights and security incidents. Where Majorum is acting as a processor under this Section with respect to content you control, Majorum will provide reasonable assistance to you in responding to data subject rights requests (such as access, rectification, deletion, or portability requests) concerning that content, and will notify you without undue delay upon becoming aware of a security incident affecting Your Content, to the extent required by applicable law.
6.5. Deletion or return of content on termination. Upon termination or closure of your account, Majorum will delete, or — if you request export before the effective date of deletion — make available for export, Your Content, subject to the retention exceptions described in Section 12.3 and in our Privacy Policy.
6.6. Separate Data Processing Addendum. For customers who require a separately executed Data Processing Addendum (for example, to satisfy their own downstream contractual or regulatory obligations), Majorum will make a standard-form DPA available on request to pub@majorum.net. The commitments in this Section 6 govern the processor relationship in the absence of such an executed addendum, and continue to apply even where a DPA is executed, to the extent not superseded by its terms.
7. AI-Generated Content Disclaimer
7.1. Transcripts, speaker labels, summaries, and chat/search responses generated by the Service are produced by automated speech-recognition systems and large language models. These systems can and do make mistakes.
7.2. Generated Content may contain errors, omissions, mischaracterizations, or inaccuracies, and does not constitute a verbatim, complete, or guaranteed-accurate record of any conversation, recording, or document. You are solely responsible for reviewing and verifying any Generated Content before relying on it for any purpose, including legal, medical, financial, employment, or other consequential decisions.
7.3. Majorum makes no representation or warranty as to the accuracy, completeness, or fitness for any particular purpose of any Generated Content.
8. Billing, Credits, and Payments
8.1. Paid access to the Service is available through one of two billing modes, at your election where offered: (a) a prepaid credit balance, purchased in fixed packs (currently offered in $10 and $50 increments) and debited as you use the Service; or (b) a pay-as-you-go plan, under which a payment card is saved on file and you are billed monthly based on your actual usage during that period.
8.2. All payments are processed by Stripe, Inc., a third-party, PCI-compliant payment processor. Majorum does not receive, process, or store your raw payment card number or other sensitive cardholder data — all such data is handled directly by Stripe. Majorum stores only a Stripe-issued customer reference and payment-method reference sufficient to identify your billing relationship, together with an internal ledger of your purchases and usage-based debits.
8.3. All purchases of credits are final and non-refundable, except where a refund is required by applicable consumer-protection law. This applies whether or not you use the full value of a purchased credit pack.
8.4. If you elect the pay-as-you-go plan, you authorize us to charge your saved payment method for accrued usage on a monthly basis. If a scheduled charge fails, we may suspend your access to paid-tier features until payment is resolved, without prejudice to any amounts already owed.
8.5. We may change our pricing, credit-pack denominations, or the billing structure of the Service at any time. Any such change will apply prospectively and will not retroactively affect credits you have already purchased or amounts already billed. Where required by law, we will provide advance notice of material pricing changes.
8.6. You are responsible for any taxes, duties, or similar governmental assessments associated with your purchases, other than taxes based on Majorum's net income.
9. Free Tier Limits
9.1. Accounts that have not activated paid billing capacity ("capped accounts") may use the Service subject to the following lifetime limits, which do not reset or refresh over time and are not restored by deleting content:
(a) a maximum of 3 recordings for the lifetime of the account;
(b) a maximum recording duration of 15 minutes for a single-track recording, or 45 minutes total (summed across tracks) for a multi-track recording;
(c) a maximum of 3 AI-generated summaries for the lifetime of the account, limited to one summary per recording with no regeneration; and
(d) a combined maximum of 20 AI chat and "Ask your library" search messages for the lifetime of the account.
9.2. You may always view your existing recordings, transcripts, summaries, and notes on a capped account, regardless of whether you have reached a limit above. Only new usage that would consume additional capacity (a new transcription, a fourth recording, an additional chat/search message beyond the cap, or a summary regeneration) is blocked once the applicable limit is reached.
9.3. The specific AI model(s) made available to capped accounts are selected by Majorum and may differ from those available to paid accounts. Reaching a limit under this Section does not entitle you to a refund of any kind (since no payment has been made) and does not create any obligation on Majorum to raise or waive the limit for your account.
9.4. Attempting to circumvent these limits (for example, by creating additional accounts) is a violation of Section 4 and may result in suspension or termination of the associated accounts.
10. Third-Party Sub-Processors
10.1. Providing certain features of the Service may involve transmitting your data to third-party service providers, including hosting infrastructure, cloud-based transcription providers, cloud-based AI language-model providers, and our payment processor.
10.2. A description of these sub-processors, the circumstances in which they are used, and the categories of data shared with them is set out in our Privacy Policy, which you should review carefully. By using the Service, you acknowledge and authorize the processing of your data by these sub-processors as described there, consistent with the legal bases (contract performance and legitimate interests, as applicable) set out in our Privacy Policy, Section 4. This acknowledgment and authorization is contractual in nature and is not, and should not be construed as, "consent" within the meaning of GDPR Article 6(1)(a) or any similar consent-based legal basis.
11. Intellectual Property
11.1. The Service, including its software, source code, design, user interface, documentation, and all associated intellectual property rights (excluding Your Content), is and remains the exclusive property of Majorum and its licensors. These Terms do not grant you any right, title, or interest in the Service other than the limited right to use it as permitted herein.
11.2. Majorum's name, logos, and product names are trademarks of Majorum and may not be used without our prior written consent.
11.3. As set out in Section 5.1, you retain ownership of Your Content. We claim no ownership interest in Your Content beyond the limited license granted in Section 5.2.
12. Termination
12.1. By you. You may stop using the Service at any time. To close your account and request deletion of your data, submit a request to pub@majorum.net in accordance with the process described in our Privacy Policy. We will process a verified deletion request within 30 days.
12.2. By Majorum. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if: (a) you violate these Terms, including the Acceptable Use provisions in Section 4; (b) we reasonably suspect fraud, abuse, or a security threat associated with your account; (c) you fail to pay amounts owed under Section 8; or (d) we are required to do so by law or by a change in our business operations, including discontinuation of the Service.
12.3. Upon termination, your right to use the Service ends immediately. The following survive termination: Section 5.1 (ownership of Your Content), Section 5.4 (indemnification for content), Section 6 (Data Processing Terms, to the extent necessary to complete deletion/export obligations), Section 7 (AI-Generated Content Disclaimer), Section 11 (Intellectual Property), Section 13 (Disclaimer of Warranties), Section 14 (Limitation of Liability), Section 15 (Indemnification), and Section 21 (Governing Law and Dispute Resolution), together with (a) any payment obligations accrued under Section 8 prior to the effective date of termination, which remain due and owing notwithstanding termination, and (b) Section 5.1's confirmation of your ownership of Your Content, which is unaffected by termination — along with any other provision that by its nature should survive.
12.4. Termination does not entitle you to a refund of any prepaid credits, except as required by applicable law (see Section 8.3).
13. Disclaimer of Warranties
13.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2. MAJORUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE (INCLUDING ANY TRANSCRIPTION, DIARIZATION, SUMMARIZATION, OR CHAT OUTPUT) WILL MEET YOUR REQUIREMENTS OR BE ACCURATE, RELIABLE, OR COMPLETE. WE DO NOT GUARANTEE ANY PARTICULAR LEVEL OF SERVICE UPTIME OR AVAILABILITY.
13.3. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, such warranties are limited to the minimum extent permitted by applicable law.
14. Limitation of Liability
14.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAJORUM, ITS OWNER, OR ANY OF ITS PERSONNEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF MAJORUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAJORUM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO MAJORUM FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
14.3. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In that case, Majorum's liability will be limited to the greatest extent permitted by applicable law.
14.4. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by Majorum's negligence.
15. Indemnification
15.1. In addition to the specific indemnification obligation in Section 5.4 (which covers breach of the recording-consent, special-category-data, and biometric/voiceprint warranties in Section 5.3), you agree to indemnify, defend, and hold harmless Majorum, its owner, officers, and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) Your Content's infringement of the intellectual-property rights of any third party; (b) Your Content's violation of any applicable law, including content that is unlawful, defamatory, or violates the rights of a third party; or (c) your material violation of these Terms.
15.2. This indemnification obligation is not intended to, and shall not be interpreted to, override or diminish any consumer-protection right that cannot lawfully be waived or limited under the mandatory law of your place of residence, as set out in Section 21.3.
16. Severability
If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.
17. Force Majeure
Majorum will not be liable for any failure or delay in performance of the Service to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disaster, war, terrorism, riot, embargo, act of civil or military authority, fire, flood, earthquake, power or telecommunications failure, internet outages, or the failure or unavailability of a third-party sub-processor described in our Privacy Policy.
18. Export Controls and Sanctions Compliance
18.1. You represent and warrant that you are not (a) located in, or a resident or national of, a country or territory subject to comprehensive U.S. trade sanctions or embargo, or (b) listed on any U.S. government denied-party, sanctions, or export-control list (including the U.S. Treasury OFAC Specially Designated Nationals and Blocked Persons List or the U.S. Commerce Department Denied Persons/Entity List), or any equivalent list maintained by the European Union, United Kingdom, or other jurisdiction applicable to you.
18.2. You agree not to use the Service in violation of any applicable export-control or economic-sanctions law, and not to use the Service to transmit, process, or store any data or content whose export, transmission, or processing is prohibited by such laws.
18.3. Majorum reserves the right to suspend or terminate access to the Service, without liability, if we reasonably believe your use of the Service violates this Section or exposes Majorum or any of its sub-processors — several of which are U.S.-based and independently subject to U.S. sanctions and export-control law — to sanctions risk.
19. Assignment
You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent, and any purported assignment in violation of this Section is void. Majorum may assign or transfer these Terms, in whole or in part, without your consent, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, or by operation of law. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.
20. Entire Agreement; No Waiver
20.1. These Terms, together with the Privacy Policy and any Data Processing Addendum executed under Section 6.6, constitute the entire agreement between you and Majorum regarding the Service, and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, regarding their subject matter.
20.2. No failure or delay by Majorum in exercising any right, power, or remedy under these Terms operates as a waiver of that right, power, or remedy, and no single or partial exercise of any right precludes any other or further exercise of it or the exercise of any other right. Any waiver must be in writing and signed by an authorized representative of Majorum to be effective.
21. Governing Law and Dispute Resolution
21.1. These Terms, and any dispute arising out of or relating to these Terms or the Service, are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws principles.
21.2. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Wyoming, United States of America, and you consent to the personal jurisdiction of such courts.
21.3. This Section does not deprive consumers who are habitually resident in the European Union or another jurisdiction of any mandatory consumer-protection rights that cannot be waived under the law of their place of residence, to the extent such rights are legally non-waivable.
22. Changes to These Terms
22.1. We may modify these Terms from time to time. If we make material changes, we will provide notice by updating the "Last updated" date at the top of this document and, where appropriate, by additional notice such as an email to your account address or an in-app notice.
22.2. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Service and may request account closure as described in Section 12.1.
